Description: Contract drafting is an integral part of the practice of law. In a media, sports and technology-driven society, the ability to draft coherent, comprehensive and legally binding contracts has become more vital than ever. This is especially true in the context of Intellectual Property law (IP), where transactions may involve thousands, if not millions of dollars and where a contract can have a tremendous impact on the livelihood of actors, artists, athletes, celebrities and corporations. This program focuses on licensing of merchandising and publishing deals, including author agreements, literary options and movie deals; software development contracts; and trademark and logo licensing agreements.
For each type of contract, topics of discussion include: • The basic structure of the agreement and suggestions for how to draft such agreements; • Contractual provisions that are significant or can be troublesome; • Common drafting errors; • Frequently encountered legal and business issues that influence how contracts are drafted and negotiated; • Negotiating techniques and strategies; and • Resources that are particularly useful when drafting an agreement.
